Definitions and key terms

To help explain things as clearly as possible in this Eula, every time any of these terms are referenced, are strictly defined as:

  • Cookie: small amount of data generated by a website and saved by your web browser. It is used to identify your browser, provide analytics, remember information about you such as your language preference or login information.
  • Company: when this policy mentions "Company," ''we," ''us," or "our," it refers to Signal compose Inc., 124-2301 2-3-6 Takeyama, Midori-ku, Yokohama-shi, Kanagawa, JAPAN that is responsible for your information under this Eula.
  • masalaaudio: audio software brand/service which is provided by Signal compose Inc.
  • Country: where masalaaudio or the owners/founders of masalaaudio are based, in this case is.
  • Device: any internet connected device such as a phone, tablet, computer or any other device that can be used to visit masalaaudio and use the services.
  • Service: refers to the subscription service provided by masalaaudio as described in the relative terms (if available) and on this platform.
  • Application: refers to the set of applications/software provided by the service.
  • Third-party service: refers to advertisers, contest sponsors, promotional and marketing partners, and others who provide our content or whose products or services we think may interest you.
  • Website: masalaaudio's site, which can be accessed via this URL: https://masalaaudio.com
  • You: a person or entity that is registered with masalaaudio to use the Services.

Introduction

This End User License Agreement (the "Agreement") is a binding agreement between you ("End User", ''you" or ''your") and Signal compose Inc.("Company", ''we", "us" or "our"). This Agreement governs the relationship between you and us, and your use of the masalaaudio’s service. Throughout this Agreement, End User and Company may each be referred to as a "Party" or collectively, the "Parties".

If you are using the service on behalf of your employer or other entity (an "Organisation") for whose benefit you utilise the service or who owns or otherwise controls the means through which you utilise or access the service, then the terms "End User", "you", and ''your” shall apply collectively to you as an individual and to the Organisation.

If you use the service on behalf of an Organisation, you hereby acknowledge, warrant, and covenant that you have the authority to 1) purchase a license to the service on behalf of the Organisation; 2) bind the Organisation to the terms of this Agreement.

By using the service you: (a) affirm that you have all of the necessary permissions and authorisations to access and use the service; (b) if you are using the service pursuant to a license purchased by an organisation, that you are authorised by that organisation to access and use the service; (c) acknowledge that you have read and that you understand this agreement; (d) represent that you are of sound mind and of legal age (18 years of age or older) to enter into a binding agreement, and if you are under the legal age, your parent or guardian must agree to this agreement; and (e) accept and agree to be legally bound by the terms and conditions of this agreement.

License

Subject to the terms of this Agreement and, if applicable, those terms provided in the License Agreement, masalaaudio grants you a limited, non-exclusive, perpetual, revocable, and non-transferable license to:

(a) Use the Application on any one Computing Device at any one time per single user license that you have purchased and been granted. If more than one user will be using the Application at any one time, you agree to acquire a license for the number of devices you intend to use;

(b) access, view, and use on such Computing Device the End User Provided Materials made available in or otherwise accessible through the Application, strictly in accordance with this Agreement, and any other terms and conditions applicable to such End User Provided Materials;

(c) receive updates and new features that become available during the Subscription Term from the date on which you purchased the license to the Application.

Restrictions

You agree not to, and you will not permit others to:

  • Copy for any purpose other than backup.
  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the service or make the service available to any third party.
  • Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Application.
  • Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of masalaaudio or its affiliates, partners, suppliers or the licensors of the service.

masalaaudio shall not be liable for any damages or losses caused by the reproduction of the application.

Intellectual Property

All intellectual property rights, including copyrights, patents, patent disclosures and inventions (whether patentable or not), trademarks, service marks, trade secrets, know-how and other confidential information, trade dress, trade names, logos, corporate names and domain names, together with all of the good will associated there with, derivative works and all other rights (collectively, "Intellectual Property Rights") that are part of the service that are otherwise owned by masalaaudio shall always remain the exclusive property of masalaaudio (or of its suppliers or licensors, if and when applicable). Nothing in this Agreement grants you (or any Organisation) a license to masalaaudio's Intellectual Property Rights.

You agree that this Agreement conveys a limited license to use masalaaudio's Intellectual Property Rights, solely as part of the service (and not independently of it), and only for the effective Term of the license granted to you hereunder. Accordingly, your use of any of masalaaudio's Intellectual Property Rights independently of the service or outside the scope of this Agreement shall be considered an infringement of masalaaudio's Intellectual Property Rights.

This shall not limit, however, any claim masalaaudio may have for a breach of contract in the event you breach a term or condition of this Agreement. You shall use the highest standard of care to safeguard all service (including all copies thereof) from infringement, misappropriation, theft, misuse or unauthorised access. Except as expressly granted in this Agreement, masalaaudio reserves and shall retain all rights, title, and interest in the service, including all copyrights and copyrightable subject matter, trademarks and trademark able subject matter, patents and patentable subject matter, trade secrets, and other intellectual property rights, registered, unregistered, granted, applied-for, or both now in existence or that may be created, relating to the thereto.

You (or the Organisation, if and as applicable) shall retain ownership of all Intellectual Property Rights in and to the work products that you create through or with the assistance of the service.

Your Suggestions

Any feedback, comments, ideas, improvements or suggestions (collectively, "Suggestions") provided by you to masalaaudio with respect to the service shall remain the sole and exclusive property of masalaaudio.

masalaaudio shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or any compensation to you.

Warranty Disclaimer

The service is (i) provided “as is” and does not warrant that the service will consist your requirements or that the service will operate uninterrupted or error-free; (ii) furnished to you for use at your own risk and that you will be solely responsible for any results, including damages or losses.

Modifications to Service

masalaaudio reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any Service, with or without notice and without liability to you.

Updates to Application

masalaaudio may from time to time provide enhancements or improvements to the features/ functionality of the Application, which may include patches, bug fixes, updates, upgrades and other modifications ("Updates").

Updates may modify or delete certain features and/or functionalities of the Application. You agree that masalaaudio has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of the Application to you. You further agree that all Updates will be (i) deemed to constitute an integral part of the Application, and (ii) subject to the terms and conditions of this Agreement.

Termination

This Agreement shall automatically terminate if You fail to comply with any of its terms. Upon termination, you must immediately cease using and destroy all Service/Application and its copies.

Amendment

masalaaudio may amend the terms and conditions of this License Agreement and/or any documents and policies referenced herein at any time by notice to Users. We will use reasonable efforts to bring any such changes to your attention.

Your use of the service after the effective date shall mean that you accept all the amendments contained in the notice.

Governing Law

This EULA is subject to the laws of Japan.

If any stipulation of this EULA should be or become invalid, either completely or in part, this shall not affect the validity of the remaining stipulations.

Jurisdiction

Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Yokohama District Court in the first instance.

はじめに

この使用許諾契約書（以下「本契約書」といいます）は、お客様（個人/法人を問わないサービスの利用者）とシグナル・コンポーズ株式会社（弊社）との間の拘束力のある契約です。本契約は、お客様と弊社との関係、およびお客様による弊社のmasalaaudio製アプリケーションの使用権を規定します。本規約において、お客様と弊社は、総称して「当事者」と呼ばれることがあります。

お客様が、お客様の雇用主またはその他の事業体（以下「組織」といいます）に代わってサービスを利用している場合、またはお客様がサービスを利用またはアクセスする手段を所有または管理している場合、「お客様」という用語は、個人としてのお客様および組織に一括して適用されるものとします。

お客様が組織を代表して本サービスを使用する場合、お客様は以下に同意するものとします。1)組織を代表して本サービスのライセンスを購入する権限を有することを認め、保証し、誓約すること。2) 組織を本契約の条件に拘束すること。

本サービスと契約することにより、お客様は以下に同意するものとします。

(a) 本サービスを利用するために必要なすべての許可および権限を有していること。(b) 組織が購入したライセンスに基づいて本サービスを使用している場合は、本サービスにアクセスして使用することを組織から許可されていること。 (c) 本契約書を読み、理解したこと。(d) 法的年齢（18歳以上）であること※。(e) 本契約の条件に法的に拘束されること。

※お客様が法的年齢以下の場合は、その保護者が本契約に同意する必要があります。

ライセンス

本契約に同意し、定められた各条項の遵守を条件として、masalaaudioはお客様に以下の限定的、非独占的、永続的、取消可能、および譲渡不可のライセンスを付与します。

(a) お客様が購入し付与されたシングル・ユーザー・ライセンスごとに、一度に1台のコンピュータ上で本アプリケーションを使用すること。一度に複数のユーザーが本アプリケーションを使用する場合、お客様は使用するコンピュータの数に応じたライセンスを取得することに同意するものとします。

(b) 本契約、及びお客様が所有するデータに適用されるその他の条件に厳密に準拠し、本アプリケーションが該当するコンピュータ上で、お客様が所有するデータにアクセスし、表示し、利用すること。

(c) お客様が本アプリケーションのライセンスを購入した日から、サブスクリプション期間中に利用可能になるアップデートおよび新機能を受け取ること。

制限事項

お客様は、以下のことを行わないこと、また他人へも以下のことを許可しないことに同意するものとします。

  • 本アプリケーションをバックアップ以外の目的で複製すること。
  • 本サービスのライセンスを無断で販売、貸与、リース、譲渡、配布、送信、ホスト、転貸、開示、またはその他の方法で商業的に利用すること、または第三者が本サービスを利用できるようにすること。
  • 本アプリケーションの一部を改変、二次的著作物の作成、逆アセンブル、復号化、逆コンパイル、リバースエンジニアリングすること。
  • masalaaudio、その関連会社、パートナー、サプライヤー、または本サービスのライセンサーの所有権表示（著作権または商標の表示を含む）を削除、変更、または不明瞭にすること。

本アプリケーションの複製によって生じた損害について、masalaaudioは一切の責任を負いません。

知的財産

著作権、特許、特許開示および発明（特許性の有無にかかわらず）、商標、サービスマーク、企業秘密、ノウハウおよびその他の機密情報、トレード・ドレス、商号、ロゴ、会社名およびドメイン名を含むすべての知的財産権、およびそれに関連するすべての価値、派生物およびその他のすべての権利（総称して「知的財産権」）は、常にmasalaaudio（または該当する場合には、そのサプライヤまたはライセンサー）の独占的な財産であり続けるものとします。本契約のいかなる条項も、お客様（または組織）にmasalaaudio(または該当する場合には、そのサプライヤまたはライセンサー)の知的財産権を付与するものではありません。

お客様は、本契約に基づきお客様に付与されたライセンスの有効期間中のみ、かつ本サービスの一部として（独立したものではなく）、masalaaudioの知的財産権を使用することに同意するものとします。したがって、お客様がサービスから独立して、または本契約の範囲外でmasalaaudioの知的財産権を使用することは、masalaaudioの知的財産権の侵害とみなされます。

本条項は、お客様が本契約の条項または条件に違反した場合の契約違反に対する masalaaudioの請求を制限するものではありません。お客様は、すべてのサービス（そのすべてのコピーを含む）を、侵害、不正流用、盗難、誤用、不正アクセスから保護するために、細心の注意を払うものとします。本契約で明示的に付与されている場合を除き、masalaaudioは、本サービスに関連するすべての著作権および著作権対象物、商標および商標可能な対象物、特許および特許可能な対象物、企業秘密およびその他の知的財産権、登録済み、未登録、付与済み、申請済み、またはその全てを含む、本サービスに関するすべての権利、権限および利益を留保し、保持するものとします。

お客様（または組織、該当する場合）は、お客様が本サービスを通じて、または本サービスの支援を受けて作成した成果物のすべての知的財産権の所有権を保持するものとします。

フィードバック

本サービスに関してお客様がmasalaaudioに提供したフィードバック、コメント、アイデア、改善、ご提案（以下、総称して「フィードバック」と呼称）は全てmasalaaudioの独占的な財産となります。

masalaaudioはクレジットの明記や補償なしに、いかなる目的および方法であれ、自由にフィードバックを使用、コピー、修正、公開、または再配布することができるものとします。

免責事項

maslaaudioは、本サービスを「現状のまま」で提供するものとし、エラー、またはバグがないことを保証しません。

また、本サービスの使用に関してお客様や第三者が被った直接的または間接的に生じる一切の損害について、弊社の責に記すべき事由がある場合を除き、いかなる責任も負いません。 特定の目的に適合することについても保証しないものとします。

サービスの変更

masalaaudioは、お客様に通知することなく、またお客様に責任を負うことなく、本アプリケーションまたは本サービスを、一時的または恒久的に変更、停止、中止する権利を有します。

アプリケーションのアップデート

masalaaudioは、パッチ、バグ修正、アップデート、アップグレード、その他の変更（以下「アップデート」といいます）を含む、本アプリケーションの機能の強化または改善を提供することがあります。

アップデートは、アプリケーションの外観および機能を変更または削除することがあります。お客様は、masalaaudioが(i)アップデートを提供する義務を負わないこと、または(ii)アプリケーションの特定の外観や機能をお客様に提供し続ける義務を負わないことに同意するものとします。

さらに、お客様は、すべてのアップデートが(i)アプリケーションの不可欠な部分を構成するものとみなされ、(ii)本契約の条件に従うことに同意するものとします。

契約解除

お客様が本契約に違反した場合、本契約は直ちに終了となり、お客様はただちに本サービスの利用中止およびアプリケーションとその複製物の破棄を行わなければなりません。

契約変更

masalaaudioはお客様に通知することにより、本契約または本契約書で参照されている文書・ポリシーをいつでも変更することができます。その場合、masalaaudioは注意を喚起するために合理的な努力を行います。

効力発生日以降にお客様がサービスを利用したときは、お客様は、利用規約の変更に同意したものとみなします。

準拠法

本契約の準拠法は日本法とします。

本契約の一部条項が法律等によって無効となった場合でも、該当条項以外は有効に存続するものとします。

裁判管轄

本契約に関して紛争が生じた場合は、横浜地方裁判所を第一審の専属的合意管轄裁判所とします。
